Please find detailed below the terms and conditions for the services provided by Richard Crowther trading as SIYLC

Definitions

1. "I", "We", "Me" or "SIYLC" refers to Richard Crowther a UK based individual who provides internet and technology related services via this website.
2. "Client", "Customer "or "You" refers to the person(s) or business that requests the services of SIYLC.
3. "Project", "Website" refers to the job or task which SIYLC is undertaking for and on behalf of the Customer.

The use of services offered by SIYLC constitutes agreement to these terms and conditions.

Website Design

1. I design website's in accordance with the client’s specifications. It is the client’s responsibility to ensure that the website and its content comply with standing regulations. I cannot accept responsibility for any failure to comply with regulations related to accessibility, selling online or those related to a specific business or trade. I can research this on the client’s behalf upon request, but in any business where complex compliance issues exist SIYLC recommend that the client takes legal advice from their company lawyer.
2. I am not responsible for the client’s on-going web site promotion. Should the client require the site to be promoted on an ongoing basis a separate contract must be agreed. The order in which website's are ranked in the natural search results is controlled by the search engines. While I can optimize your site for this I can offer no guarantees about the success of any search engine promotion activity.
3. In situations where the client provides images, text, animations or any other content for their website they are legally responsible for ensuring that this material does not infringe any copyright. Certain images provided by Me in the construction of the website may have been purchased under licence from stock image suppliers. These images are generally only licensed for use on a single website and may not be used in publicity material. The website owner is legally responsible for ensuring that this does not happen. If you wish to use any images from the site for other purposes please contact Me for clarification.

Hosting

1. I take no responsibility for any information loaded to My customer's accounts or web sites. If it is brought to my attention, and deem the material to be inappropriate, I will suspend the customer's service on accounts or web sites, until any illegal or inappropriate data is removed.
2. The customer will fully indemnify Me against liability (of any nature), which may befall Me as a result of the customers illegal use of our services.
3. Spamming or any type of unsolicited commercial or non-commercial email is strictly prohibited, and your account may be suspended if you are found to be doing so.
4. No guarantees can be made as to the availability or interruption of this service. I cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
5. I reserve the right to terminate any accounts, at any time, where the client has made unreasonable or inappropriate use of any of the services supplied to the client by SIYLC as deemed by Me.
6. Monthly bandwidth allowance is stated on the invoice in GB (Gigabytes). Additional bandwidth may be purchased upon request.
7. Web space allowance is stated on the invoice in mb (Megabytes). Additional web space may be purchased upon request.
8. All hosting provided by SIYLC is located in Texas, USA unless stated otherwise.

Domain Names

1. All domain names registered on behalf of a customer by Me remain the property of SIYLC until full payment is received. Once full payment is received You are the legal owner of the domain name.
2. If you do not renew your domain names before the expiry date you may lose your domain names permanently.

Software

1. All software created by SIYLC including but not limited to "SIYLC Editor", "SIYLC Mailer" and "SIYLC Shop" is licensed for use on the website it was installed on by Me. The software shall not be modified, duplicated or distributed in any way.
2. I cannot accept liability for losses caused directly or indirectly by the malfunction of software or scripts provided by Me.

Warranty

1. All software and scripts written by me will be repaired free of charge if they develop a fault within the first 12 months. This period start when the website is made live and publicly viewable.
2. This warranty is may be invalidated in the following circumstances...
   1. If the the Customer request the master passwords allowing them FTP and CPANEL access to their website.
   2. If the Customer has any outstanding overdue debts with Me.
   3. If a repair is not possible due to a third party (Example: PayPal) making changes to their Services, Scripts or API's
3. This warranty excludes changes to website content including but not limited to images and text.

Charges & Fees

1. Unless quoted otherwise all work shall be charged the prices found at www.siylc.co.uk/prices.
2. Should you decide that changes are required after you have received a written or verbal quote then charges will be made/deducted accordingly. This excludes work which has already been carried out.
3. I reserve the right to charge for traveling expenses based on 45p per mile. (NOTE: There will be no charges for traveling time or expenses incurred before you give your approval for work to commence.)
4. No full or part refunds can be made on unused Domain Names or Hosting.

Payment Terms

1. Payment of any balance will be due within 30 days of final invoice date. Full publication of the Web Pages may take place only after full payment has been received. Any material previously published may be removed if payment is not received.
2. Accounts that have not been settled within 60 days of final invoice date will incur a late payment charge of 12% of the amount outstanding.
3. An advance payment maybe required before work can commence.
4. SIYLC will hold intellectual copyright of any material, including any source code and original images created for the client until payment of the final invoice. At this time we will transfer this intellectual copyright to the client, this excludes SIYLC branded software (See Software above).

Cancellation

1. Should the client wish to cancel at any point during the process they shall remain liable for the work that has taken place and shall be invoiced accordingly.
2. Domain names are non refundable unless a grammatical mistake was made by SIYLC in the domain name spelling.

Should I waive any of these terms on an individual basis, this shall not affect the validity of remaining clauses or commit Me to waive the same clause on any other occasion.

By agreeing to these terms and conditions your statutory rights are not affected.
